Acceptance of These Terms

LiveDraftX ("LiveDraftX," "we," "us," or "our") builds online fantasy football draft boards that help your league run its draft. These Terms of Service (the "Terms") cover our marketing website at https://www.livedraftx.com and our draft application at https://fantasy.livedraftx.com (together, the "Service"). Your permission to use the Service depends on your agreeing to everything written here. If you do not accept these Terms, please do not use the Service. When you continue to browse, register, or draft, you are telling us that you have read these Terms and agree to be bound by them, so we suggest you keep a copy for your own records.

Privacy

How we handle the information you share with us is described in our Privacy Policy, which is part of your agreement with us. By using the Service you also accept the data practices set out in that Policy, and we encourage you to read it so you understand what we collect and why.

Eligibility and Your Account

You must be at least 13 years old to use the Service. If you are under 18 (or under the age of majority in the place where you live), you may use the Service only when a parent or guardian is involved and has given their consent, and that adult remains responsible for everything you do on the Service and for any purchases made through your account. Whenever you buy a paid draft, you confirm that you are able to enter into a binding contract, or that a parent or guardian who can do so has authorized the purchase on your behalf.

You sign in with an email address and a password, and your email address serves as your username. You agree to give us accurate, current information when you register and to keep it up to date. Keeping your password confidential is your responsibility, and you are accountable for everything that happens under your account. If you think someone has gained access to your account without your permission, please tell us right away at support@livedraftx.com.

Electronic Communications

Each time you use the Service or send us an email, you are communicating with us electronically. You agree to receive communications from us in electronic form, whether that means messages we email to you or notices we post within the Service. You also agree that any agreement, notice, disclosure, or other communication we deliver electronically meets any legal requirement that such a communication be provided in writing.

Fees and Payment

LiveDraftX charges on a per-draft basis rather than by subscription. Each draft belongs to a tier: Basic is free, Pro costs $14.99, and Premium costs $24.99. All prices are stated in U.S. dollars. A paid tier is a one-time charge for a single draft, so buying one draft never signs you up for recurring billing, and we may from time to time offer coupons or discount codes that reduce the price.

Payments are handled by our payment processor, Stripe. You enter your card details directly into Stripe's secure form, and LiveDraftX never receives or stores your full card number; Stripe returns only a token that lets us complete the charge. You are responsible for any taxes tied to your purchase, except for taxes based on our income. We may adjust our prices or the features included in each tier at any time, but a change like that will not affect a draft you have already paid for.

Paid tiers unlock additional software features, such as a draft timer, keeper support, the ability to trade draft picks, and remote or online drafting. Paying for a tier buys you access to those tools and nothing more. LiveDraftX is not a gambling, sweepstakes, daily-fantasy, or real-money-contest product. There are no prizes, entry fees for contests, or wagers of any kind, and buying a draft is not an entry into any contest.

Cancellation and Refunds

If you have paid for a draft, you may cancel it and receive a refund at any time before that draft starts. The simplest way is to delete the unstarted draft, which refunds your purchase automatically; you may also request a refund by emailing us at support@livedraftx.com or through our support chat. Once a draft has started, purchases are non-refundable, except where the law requires otherwise. We may choose to grant a refund outside this policy at our sole discretion, and doing so does not obligate us to grant any other refund request.

League Information and Invitations

If you set up a draft as a commissioner, you may enter the team names and email addresses of the other members of your league so that the Service can email them draft invitations, reminders, and results. By providing that information, you represent and warrant that you have each person's permission to give us their details and to have them contacted through the Service for these purposes. You agree to keep the information you enter accurate and to comply with all applicable anti-spam and privacy laws when you invite people and manage your league.

Links to Third-Party Sites and Services

The Service may include links to websites we do not own or control. We offer those links for your convenience, and a link does not mean we endorse the linked site or are connected with the people who run it. We are not responsible for the content, policies, or practices of any site we link to, so please review the terms and privacy policies of any third-party site you visit.

Some parts of the Service rely on providers who deliver functionality on our behalf, such as our payment processor and other vendors. By using a feature that depends on one of these providers, you consent to our sharing the information reasonably needed for that provider to deliver the feature you requested.

Acceptable Use and Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. In return, you agree not to use the Service for any unlawful purpose or in any way these Terms prohibit. You will not take any action that could damage, disable, overburden, or disrupt the Service or interfere with anyone else's use of it, and you will not scrape it, reverse-engineer it, resell access to it, or create derivative works from its content or software.

Everything that makes up the Service, including its text, graphics, logos, images, layout, and the software that runs it, is the property of LiveDraftX or its licensors and is protected by copyright, trademark, and other intellectual property laws. You agree to respect the proprietary notices and restrictions attached to that content. Using the Service does not transfer any ownership rights to you, and we grant you no licenses to our intellectual property or our licensors' intellectual property beyond the limited permission described in these Terms.

International Users

LiveDraftX operates the Service from the United States. If you access it from somewhere else, you do so on your own initiative and are responsible for following the laws that apply where you are. You agree not to use the Service in any place or in any manner that local law prohibits.

Indemnification

You agree to indemnify, defend, and hold harmless LiveDraftX and its officers, directors, employees, agents, and third parties from and against any claims, losses, liabilities, and costs, including reasonable attorneys' fees, that arise out of or relate to your use of the Service, anything you submit through it, your breach of these Terms, your violation of another party's rights, or your violation of any law. We may choose, at our own expense, to take over the exclusive defense and control of any matter that would otherwise be subject to your indemnification, and if we do, you agree to cooperate with us in defending it.

Arbitration

If a dispute arises between you and LiveDraftX out of or relating to these Terms or your use of the Service, and the two of us cannot resolve it informally, that dispute will be settled by binding individual arbitration under the Federal Arbitration Act rather than in court. The arbitration will be administered by the American Arbitration Association, or a comparable arbitration service the parties agree on, before a single neutral arbitrator. The arbitrator's award is final, and a court with jurisdiction may enter judgment on it. The prevailing party may recover its costs and reasonable attorneys' fees. The arbitrator, and not any court, decides questions about the scope and enforceability of this arbitration provision, which survives any termination of these Terms.

Class Action Waiver

Any arbitration or claim under these Terms will proceed only on an individual basis. You and LiveDraftX each agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding, including any private attorney general action. Unless both of us agree otherwise, the arbitrator may not combine more than one person's claims or preside over any form of class or representative proceeding.

Disclaimer of Warranties

The Service and everything in it are provided on an "as is" and "as available" basis. The Service may contain errors, and LiveDraftX may change it at any time. To the maximum extent permitted by law, LiveDraftX disclaims all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Service will be reliable, available, timely, or accurate.

Limitation of Liability

To the maximum extent permitted by law, LiveDraftX and its suppliers will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of use, data, or profits, arising out of or connected with your use of or inability to use the Service, even if we have been advised that such damages were possible. Some jurisdictions do not allow these limitations, so they may not apply to you. If you are dissatisfied with the Service, your sole and exclusive remedy is to stop using it.

Termination and Access Restriction

LiveDraftX may suspend or terminate your access to the Service, in whole or in part, at its discretion and at any time, without notice. To the maximum extent permitted by law, these Terms are governed by the laws of the State of California, and you consent to the exclusive jurisdiction and venue of the courts located in California for any dispute arising out of or relating to the Service.

Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and LiveDraftX. If any provision of these Terms is found to be invalid or unenforceable, that provision will be replaced by a valid one that comes closest to its original intent, and the remaining provisions will stay in full effect. These Terms make up the entire agreement between you and LiveDraftX regarding the Service and supersede any prior communications or proposals between us. The parties intend that these Terms and related documents be written in English, and English governs their interpretation.

Changes to These Terms

LiveDraftX may update these Terms at its discretion. When we do, the most recent version replaces every earlier one. We encourage you to check back from time to time so you stay aware of any updates, and your continued use of the Service after a change means you accept the revised Terms.
